This Non-Disclosure Agreement is between ROBOO MOTORS ("Company") and the Business signing below ("Business").

1. Confidential Information. Confidential Information means all non-public information Business receives through the Company or its portal, including pricing, desking results, lender programs, buy rates, money factors, residuals, rebates and incentives, dealer relationships and contacts, fee structures, customer information, software, tools, methods and business practices.

2. Obligations. Business will keep Confidential Information strictly confidential, use it only to quote and serve Business's own customers through the Company, and not disclose, copy, publish, resell, screenshot for third parties, or share portal access with anyone.

3. No Reverse Engineering. Business will not attempt to copy, scrape, extract or recreate the Company's pricing tools, data or systems, and will not disclose the source or providers of any information obtained through the portal.

4. Customers and Dealers. Business will not use Confidential Information to bypass the Company or contact the Company's dealers, lenders or partners directly to complete deals outside the Company.

5. Exclusions. Obligations do not apply to information that is publicly available through no fault of Business, or that Business must disclose by law, provided Business gives prompt notice where permitted.

6. Term. These obligations apply while Business has portal access and for three (3) years after access ends. Upon termination Business will stop using and delete all Confidential Information.

7. Remedies. Unauthorized disclosure may cause irreparable harm; the Company may seek injunctive relief in addition to any other remedies, and may suspend access immediately. If any provision is unenforceable, the remainder stays in effect.

8. Electronic Signature. Business agrees that typing their name and drawing their signature below is a legally binding electronic signature with the same effect as a handwritten signature.
